Is a Limited Liability Company (LLC) Right for Your Business?

Do you own, or are you starting, a small business?

Do you want a business structure that protects your personal assets from lawsuits arising out of the business?

Do you want greater control over how your company is managed?

Do you want greater flexibility in how profits are divided among the owners?

If you answered YES to any of the above questions then an LLC might be right for you!

Imagine running a successful business, operating a rental property, or building a retirement portfolio without worrying that a lawsuit could wipe it all out. With a limited liability company (LLC) you may protect your assets by limiting your personal liability, avoid excessive taxes, increase your company’s credibility and legitimacy, and have increased flexibility with less administrative hassle and paperwork than with a corporation.

If you are operating a business or rental without an LLC, or you filed your own LLC on a Do-It-Yourself website, your personal assets could be at risk. Simply having an LLC is not enough, you must also comply with specific regulatory rules and you need the proper organizational documents that will ensure your LLC is structured to provide maximum protection for you personally.

There are a number of factors that if missing, or done incorrectly, could invalidate your LLC and leave you personally liable. Some of those factors include:

  • Not filing the right documents
  • Completing or filing documents incorrectly;
  • Filing your LLC in the wrong state;
  • Not keeping up with annual reporting requirements;
  • Not keeping proper records;
  • Commingling company and personal money;
  • Using the LLC for an improper purpose;
  • Failing to provide notice of your LLC to customers.

Not understanding the law is not a defense for failing to follow the law. Similarly, not understanding what you are required to do to create and maintain a valid LLC, or doing it wrong, is not a valid defense in court and will leave you exposed in a lawsuit.

To make matters worse, we believe there are a lot of online incorporation services on the Web that actually harm new business owners rather than help them. These companies often overcharge for their services, don’t complete the process from start to finish, don’t provide all the tools necessary to operate the entity successfully, and give bad advice. The majority of the time these companies are not even law firms.

As a business owner you don’t have the time to research and learn all the specific rules and requirements for an LLC in your state, nor the time to weed out the legitimate formation services from the duds.

That is why we are introducing the SUPERNUS LLC FORMATION PROGRAM. A licensed attorney and business professional will review your documents and file your LLC to ensure that your documents are complete, correct, and filed in the right state.

Can't I Do This Myself and Save Money?

For a couple hundred dollars I can file an LLC with an online incorporation service like RocketLawyer.com or Nolo.com and save money right? That depends on what you mean by “save money.” If you mean that you will save a couple of hundred dollars up front then yes, you will save money initially. But what happens if your business is sued? In roughly 40% of lawsuits against LLCs, the plaintiff is success in piercing the veil and holding the business owner liable. This is because so many owners of LLCs don’t file correctly, they fail to comply with specific rules, or they don’t have an effective Operating Agreement. Sure, you might have saved a couple of hundred dollars on the creation, but it could cost you thousands in attorney’s fees and tens of thousands in court judgments.

Through the Supernus LLC program you can be confident that your LLC was created correctly and you will never be in the dark about your requirements.

So if you are starting a business, or already have a business, then you can:

1. Continue on your own without liability protection and take the risk yourself;

OR

2. You can do-it-yourself but risk not doing it right or not understanding important legal concepts and terms (remember that the State does not provide you with and Operating Agreement, operational documents, or detailed instructions and legal advice);

OR

3. Purchase the Supernus LLC package and relax knowing your LLC was done right!

MONEY BACK GUARANTEE

We guarantee that the state will approve your LLC filing within 90 days or your money back, guaranteed. In other words, if the state government rejects your LLC within 90 days of filing we will refund your payment.

Eliminate the frustration of sorting through confusing legal documents, threatening compliance letters, expensive attorney’s fees, and the stress of worrying that a single lawsuit could strip away your life’s savings.

Your Dreams. Our Expertise.

Whether you are starting a new business, revising an existing business, investing in real estate, or creating an asset protection program, the mistake most people make – which can cost you thousands in unnecessary taxes or lost assets – is not utilizing the correct entity for your unique company. Similar to owning a shipping company but only offering boxes in a single size, that box may be perfect for shipping a computer, but it cannot provide the proper protection for a delicate glass ornament, nor would it protect larger or irregular shaped items like a flat screen TV. A one-size-fits-all box does not work for a shipping company and a one-size-fits-all approach to starting your business won’t work either. Beware of do-it-yourself websites or promoters with a one-size-fits-all approach that lets you screw up your tax and legal planning with a simple click of your mouse.

The Supernus Business and Law Center can help you determine the appropriate business entity to suit your unique situation and provide insight on which tools will help you succeed. Once we have selected the best tools for your objectives, we will stay with you through every step of the process to ensure you have the knowledge to operate your business the right way.

Custom Tailored Business Planning Session

During your Business Planning session, a Trusted Adviser will work with you, the business owner, to select the right business entity and structure for your company, discuss tax savings strategies, ensure compliance with federal and state laws, and develop a plan to ensure a smooth transition and continuation of your company upon the death, disability, or retirement of an owner, or the sale of the company. With a focus on asset protection and business preservation, our key services in Business Planning include:

    • Selection and Formation of the Most Suitable Entity for your Business: We will help you in selecting and forming the business entity that best suits your needs, provides the highest level of protection, and minimizes your tax burden. Whether that entity is a Corporation, Partnership, or Limited Liability Company, we can advise you and provide the services necessary to form the appropriate entity best suited for your unique business.
    • Drafting and Structuring an Operating, Partnership, or Shareholders Agreement specifically tailored to your Business: These agreements are vital to the success of any entity because they govern how the business will operate, the type of activities engaged in by the business, and what events will result in the termination of the business. They also govern the rights, duties, and ownership interests of the owners of the company, how it will be managed, what percentage of a vote will be required for the business to take certain action, and what authority each owner has to make decisions on behalf of the business. We will work with you to develop, draft, and execute the appropriate agreement to suit the specific needs of your business during all phases of the business cycle from start-up, through growth, and eventually succession.
    • Drafting and Negotiating Buy-Sell Agreements: A buy-sell agreement sets forth procedures in order to provide a smooth transition of the business to the remaining or new owner(s) in the event of the death, disability, or retirement of an owner. We will counsel, negotiate, and draft a buy-sell agreement that meets your business’s needs.
    • Consultation on Your Business’s Existing Structure and Plan: Do you own a business and have you already formed an entity, or executed an operating agreement or buy-sell agreement, but you are not sure whether the plan that you put in action is appropriate for your business’s needs? Did you create an entity online but now have questions as to whether it will provide the appropriate level of protection? If so, we can review and consult with you regarding your plan, and if necessary, change the existing plan to meet the needs of your business.

If you are a Business Owner and you have questions regarding your business, schedule a Business Planning session right now to get the answers you need.

Imagine running a successful business, operating a rental property, or building a retirement portfolio without worrying that a lawsuit could wipe it all out. With a limited liability company (LLC) you can protect your personal assets by limiting your personal liability, avoid excessive taxes, increase your company’s credibility and legitimacy, and have increased flexibility with less administrative hassle and paperwork than a corporation.

If you are operating a business or rental without an LLC, or you filed your own LLC on a Do-It-Yourself website, your personal assets could be at risk. Simply having an LLC is not enough, you also need the proper organizational documents that will ensure your LLC is structured to provide maximum protection for you personally and you need to understand and follow specific rules to ensure that protection.

Through the Supernus LLC program you will receive the single most important tool that every LLC MUST have in order to provide maximum protection and control of your business, and which most LLCs don’t have: a comprehensive, custom-tailored Operating Agreement.

Starting a Business: Do you form an LLC, Corporation, S-Corp, or Limited Partnership?
