WARNING:

If You Own a Small Business You May Be Putting Your Savings and Personal Property at Risk!

In today’s sue-happy culture, if you own a small business,
getting sued is not a matter of IF, but When.

So the big question on the minds of my clients is:

How can I protect myself from lawsuits against my company?

How can I protect myself from my company’s lawsuits and debts?

An LLC Protects You by Creating a Legal Separation Between You and the Business

In general, when you own a business, there is no legal separation between you and your business – basically, you are your business. If your business gets sued, you get sued.

And, if your business is forced to pay money in a lawsuit, you are the one paying for it.

To protect business owners, the government created LIMITED LIABILITY entities (these include LLCs, corporations, and limited partnerships). These entities create a legal separation between you and your business, so if your business gets sued, you are not personally responsible.

Imagine that the government created a magic box that is designed to exist independent of anyone else.

This magic box is treated like a human: it has certain rights; it can buy, sell, and own property; it can sue and be sued.

For a fee, the government gives you one of these boxes (an LLC)  and you put your business into this box.

The walls of the box legally separate anything inside the box (your business) from anything outside of the box (you and your assets).

If your business gets sued, that lawsuit stays in the box. Your business may be required to pay damages in a lawsuit, but only to the extent that your business has money or assets. YOU cannot be pulled into the box to pay for the lawsuit.

When used correctly, an LLC legally separates YOU from YOUR BUSINESS, protecting you from business lawsuits and debts!

In addition, the separate business entity enhances your credibility because it shows people that you are serious about your business.

It can also open the door for tax advantages and strategies that you might not be eligible for as an individual.

Simply Filing an LLC is Not Enough,
and it Could Leave You Vulnerable to Lawsuits!

I have talked to numerous small business owners who were devastated when they discovered that after a lifetime of hard work and sacrifice, their entire savings was threatened by a single lawsuit – a lawsuit that could have been avoided if they had taken 1 important step: Properly Creating a Custom-Tailored LLC.

I’m not talking about simply filing an LLC in your state – a lot of people do that and a lot of people lose as a result. Over the last decade, in more than 40% of lawsuits involving LLCs the plaintiff was able to break through the LLC protection (break through the walls of the box) and hold the owner personally liable.

WHY?

Because simply having an LLC is not enough to protect you!

You Need to Satisfy 3 important Requirements to Maximize an LLC's Protection:

(1) FILE THE CORRECT LEGAL DOCUMENTS COMPLETELY AND IN THE RIGHT STATE.

(2) FOLLOW A FEW BASIC RULES.

and

(3) CREATE A STRATEGICALLY DESIGNED OPERATING AGREEMENT THAT WILL GOVERN HOW YOUR LLC WILL OPERATE AND HOW PROBLEMS WILL BE RESOLVED.

Simply filing your LLC is only the start.

REQUIREMENT #1
File the Correct Legal Documents Completely and in the Right State

Improper filing is a common problem and it could doom your business from the start.

Many years ago as a young business owner,  I filed a lawsuit – on behalf of my company – against a competitor who was stealing my clients, and l lost. It cost me thousands of dollars in attorney’s fees, it hurt my reputation, and I lost a lot of business.

I thought that a valid legal claim against the other company would be sufficient, until I discovered that not having the proper filing in the right state meant my company was not recognized by the court of that state, and therefore I did not have standing to sue.

My company’s LLC was originally created in Arizona but when I moved operations to Illinois I thought I could save money by not registering the LLC in Illinois (after all, it was still registered in Arizona, so shouldn’t that be enough?)

As it turns out, it wasn’t.

Seemingly small decisions during your LLC creation, such as whether it is a single-member or a multi-member entity, whether it is member-managed or manager-managed, whether it exists in perpetuity or a fixed term, and which state you file in, have significant implications for your operations, privacy, and liability protection.

Simply put, the laws surrounding LLCs are complex – and they vary from state to state – and your initial decisions when creating your LLC will have a huge impact on how well the LLC can protect you.

It’s time to get the full benefits of an LLC by turning to an experienced professional who can properly evaluate your business and determine which options are best for you and your business in your unique circumstances.

But first, we need to evaluate your business to determine the best structure and location for filing, accurately complete the necessary documents, and complete the formation process.

With the Supernus LLC Formation Program:

Don’t know which state to file in, NO PROBLEM!

Don’t know the filing requirements for your state, NO PROBLEM!

Don’t know if a single-member entity will leave you vulnerable, NO PROBLEM!

WE DO IT ALL FOR YOU, SO YOU KNOW IT’S DONE CORRECTLY!

REQUIREMENT #2
Understand and Follow a Few Basic Rules to Protect the Corporate Veil and Maintain Liability Protection

Clients often ask me why business owners are held personally responsible in almost half of all lawsuits even if they have an LLC.

The #1 REASON: failure to follow the basic rules.

There are 5 categories of rules, and liability protection hinges on whether or not you follow those rules.

Unfortunately, most business owners don’t know what those rules are.

And as a business owner, you are probably too busy to spend hours and hours researching legal statutes and court decisions.

To solve this problem, I wrote the Special Report: PROTECTING THE CORPORATE VEIL: The Small Business Owner’s Guide to Maintaining Liability Protection With an LLC, Corporation, or Limited Partnership.

This complete guide explains the legal concepts of limited liability and the corporate veil, and breaks down, in easy to understand terms, the 5 specific rules that an LLC can never violate (and what to do if you have violated these rules).

This important guide will explain:

Yes, getting the benefits of an LLC requires following specific rules.

Now, with this incredible guide you can act with full confidence knowing that you are protected because you understand and follow the basic rules to stay in compliance.

REQUIREMENT #3
Create a Strategically Designed
Operating Agreement That Puts You in Control of How the Court Treats Your Company.

When it comes to laws that will govern what happens with your LLC, YOU ARE IN CHARGE!

Unlike a corporation, there are only a few mandatory laws governing LLCs. In most states, the laws governing LLCs are actually default rules, and that means they are optional.

That means that you – as the LLC owner – get to decide how your LLC is treated and how problems are resolved, as well other issues such as how payments are distributed, how the entity is taxed, and if creditor’s can take the company assets.

You set the rules for your LLC in an OPERATION AGREEMENT – a contract between the owners of the LLC that lays out how the LLC will be managed.

Your Operating Agreement should be custom-tailored to your specific business situation, it should anticipate and thoroughly address potential problems, and it should be designed to protect your specific interests.

But, if you don’t have an Operating Agreement, or your Operating Agreement does not address specific problems, then the courts will apply your state’s default rules … and you might not like the end result.

That is why a concise, custom-tailored, and well-drafted Operating Agreement is an essential part of an LLC’s protection.

But, many LLC owners do not have this essential document.

Why?

Because the State does not provide Operating Agreements, so if you filed on your own then you are missing this essential document and giving up significant control of your entity.

Similarly, most online incorporation services do not include an Operating Agreement when you file through them.

Or, they give you a generic template that does not take into account your personal situation (that’s because only an attorney is licensed and trained to draft complex legal documents like Operating Agreements.)

Either way, if you purchased your LLC online then you either don’t have an Operating Agreement or it isn’t custom-tailored to protect you.

And that leaves you vulnerable to lawsuits.

With the SUPERNUS LLC Formation Program a licensed attorney will custom-tailor your Operating Agreement specifically for you and your unique situation.

Your Operating Agreement will establish:

Simply Filing an LLC is Not Enough,
and it Could Leave You Vulnerable to Lawsuits!

I have talked to numerous small business owners who were devastated when they discovered that after a lifetime of hard work and sacrifice, their entire savings was threatened by a single lawsuit – a lawsuit that could have been avoided if they had taken one important step: Properly Creating a Custom-Tailored LLC.

I’m not talking about simply filing an LLC in your state – a lot of people do that and a lot of people lose as a result. Over the last decade, in more than 40% of lawsuits involving LLCs the plaintiff was able to break through the LLC protection and hold the owner personally liable.

WHY?

Because simply filing an LLC is not enough!

You Need to Take 3 Important Actions to Get an LLC's Protection:

THREE COMMON MISTAKES THAT LEAVE YOU VULNERABLE!

I have worked with small businesses for more than 20 years and there are 3 common reasons why most business owners are not protected from business lawsuits.

1) They have not formed an LLC or they formed it incorrectly (so they have no protection).

2) They have an LLC but they don’t follow the basic rules. Or,

3) They have an LLC and they follow the basic rules, but they don’t have a strategically designed Operating Agreements custom-tailored to their business and set up to resolve conflicts in the future. When there is no Operating Agreement, the courts are required to step in and make important decisions, and they might not produce the outcomes the owner wants.

The question that may be on your mind is:

How am I suppose to know what all the specific laws are (I’m too busy building my business to spend countless hours researching rules and keeping up with legal precedent)?

Or

Even if I know & follow the rules, how do I address all the potential problems that can arise and adequately protect myself (after all, I don’t know what I don’t know, and if I don’t know what to prepare for how am I suppose to prepare for it?)

The solution is the
SUPERNUS LLC FORMATION PROGRAM.

  • Completing or filing documents incorrectly;
  • Filing your LLC in the wrong state;
  • Not keeping up with annual reporting requirements;
  • Not keeping proper records;
  • Commingling company and personal money;
  • Using the LLC for an improper purpose;
  • Failing to provide notice of your LLC to customers.

Imagine running a successful business, operating a rental property, or building a retirement portfolio without worrying that a lawsuit could wipe it all out. With a limited liability company (LLC) you may protect your assets by limiting your personal liability, avoid excessive taxes, increase your company’s credibility and legitimacy, and have increased flexibility with less administrative hassle and paperwork than with a corporation.

If you are operating a business or rental without an LLC, or you filed your own LLC on a Do-It-Yourself website, your personal assets could be at risk. Simply having an LLC is not enough, you must also comply with specific regulatory rules and you need the proper organizational documents that will ensure your LLC is structured to provide maximum protection for you personally.

There are a number of factors that if missing, or done incorrectly, could invalidate your LLC and leave you personally liable. Some of those factors include:

  • Not filing the right documents
  • Completing or filing documents incorrectly;
  • Filing your LLC in the wrong state;
  • Not keeping up with annual reporting requirements;
  • Not keeping proper records;
  • Commingling company and personal money;
  • Using the LLC for an improper purpose;
  • Failing to provide notice of your LLC to customers.

If you answered YES to any of the above questions then an LLC might be right for you!

Not understanding the law is not a defense for failing to follow the law. Similarly, not understanding what you are required to do to create and maintain a valid LLC, or doing it wrong, is not a valid defense in court and will leave you exposed in a lawsuit.

To make matters worse, we believe there are a lot of online incorporation services on the Web that actually harm new business owners rather than help them. These companies often overcharge for their services, don’t complete the process from start to finish, don’t provide all the tools necessary to operate the entity successfully, and give bad advice. The majority of the time these companies are not even law firms.

As a business owner you don’t have the time to research and learn all the specific rules and requirements for an LLC in your state, nor the time to weed out the legitimate formation services from the duds.

Can't I Do This Myself and Save Money?

For a couple hundred dollars I can file an LLC with an online incorporation service like RocketLawyer.com or Nolo.com and save money right? That depends on what you mean by “save money.” If you mean that you will save a couple of hundred dollars up front then yes, you will save money initially. But what happens if your business is sued? In roughly 40% of lawsuits against LLCs, the plaintiff is success in piercing the veil and holding the business owner liable. This is because so many owners of LLCs don’t file correctly, they fail to comply with specific rules, or they don’t have an effective Operating Agreement. Sure, you might have saved a couple of hundred dollars on the creation, but it could cost you thousands in attorney’s fees and tens of thousands in court judgments.

Through the Supernus LLC program you can be confident that your LLC was created correctly and you will never be in the dark about your requirements.

So if you are starting a business, or already have a business, then you can:

1. Continue on your own without liability protection and take the risk yourself;

OR

2. You can do-it-yourself but risk not doing it right or not understanding important legal concepts and terms (remember that the State does not provide you with and Operating Agreement, operational documents, or detailed instructions and legal advice);

OR

3. Purchase the Supernus LLC package and relax knowing your LLC was done right!

Or,

3) They have an LLC and they follow the basic rules, but they don’t have strategic operating agreements set up to resolve conflicts in the future. When that happens, the courts are required to step in and make important decisions, and often they are not the outcomes the owner wants.

The solution is the SUPERNUS LLC FORMATION PROGRAM. A licensed attorney and business professional will review your documents and file your LLC to ensure that your documents are complete, correct, and filed in the right state.

MONEY BACK GUARANTEE

We guarantee that the state will approve your LLC filing within 90 days or your money back, guaranteed. In other words, if the state government rejects your LLC within 90 days of filing we will refund your payment.

Eliminate the frustration of sorting through confusing legal documents, threatening compliance letters, expensive attorney’s fees, and the stress of worrying that a single lawsuit could strip away your life’s savings.

Your Dreams. Our Expertise.

Whether you are starting a new business, revising an existing business, investing in real estate, or creating an asset protection program, the mistake most people make – which can cost you thousands in unnecessary taxes or lost assets – is not utilizing the correct entity for your unique company. Similar to owning a shipping company but only offering boxes in a single size, that box may be perfect for shipping a computer, but it cannot provide the proper protection for a delicate glass ornament, nor would it protect larger or irregular shaped items like a flat screen TV. A one-size-fits-all box does not work for a shipping company and a one-size-fits-all approach to starting your business won’t work either. Beware of do-it-yourself websites or promoters with a one-size-fits-all approach that lets you screw up your tax and legal planning with a simple click of your mouse.

The Supernus Business and Law Center can help you determine the appropriate business entity to suit your unique situation and provide insight on which tools will help you succeed. Once we have selected the best tools for your objectives, we will stay with you through every step of the process to ensure you have the knowledge to operate your business the right way.

Custom Tailored Business Planning Session

During your Business Planning session, a Trusted Adviser will work with you, the business owner, to select the right business entity and structure for your company, discuss tax savings strategies, ensure compliance with federal and state laws, and develop a plan to ensure a smooth transition and continuation of your company upon the death, disability, or retirement of an owner, or the sale of the company. With a focus on asset protection and business preservation, our key services in Business Planning include:

    • Selection and Formation of the Most Suitable Entity for your Business: We will help you in selecting and forming the business entity that best suits your needs, provides the highest level of protection, and minimizes your tax burden. Whether that entity is a Corporation, Partnership, or Limited Liability Company, we can advise you and provide the services necessary to form the appropriate entity best suited for your unique business.
    • Drafting and Structuring an Operating, Partnership, or Shareholders Agreement specifically tailored to your Business: These agreements are vital to the success of any entity because they govern how the business will operate, the type of activities engaged in by the business, and what events will result in the termination of the business. They also govern the rights, duties, and ownership interests of the owners of the company, how it will be managed, what percentage of a vote will be required for the business to take certain action, and what authority each owner has to make decisions on behalf of the business. We will work with you to develop, draft, and execute the appropriate agreement to suit the specific needs of your business during all phases of the business cycle from start-up, through growth, and eventually succession.
    • Drafting and Negotiating Buy-Sell Agreements: A buy-sell agreement sets forth procedures in order to provide a smooth transition of the business to the remaining or new owner(s) in the event of the death, disability, or retirement of an owner. We will counsel, negotiate, and draft a buy-sell agreement that meets your business’s needs.
    • Consultation on Your Business’s Existing Structure and Plan: Do you own a business and have you already formed an entity, or executed an operating agreement or buy-sell agreement, but you are not sure whether the plan that you put in action is appropriate for your business’s needs? Did you create an entity online but now have questions as to whether it will provide the appropriate level of protection? If so, we can review and consult with you regarding your plan, and if necessary, change the existing plan to meet the needs of your business.

If you are a Business Owner and you have questions regarding your business, schedule a Business Planning session right now to get the answers you need.

That is why we are introducing the SUPERNUS LLC FORMATION PROGRAM. A licensed attorney and business professional will review your documents and file your LLC to ensure that your documents are complete, correct, and filed in the right state.

In addition to professional review and correct filing, you will receive several bonuses that will help ensure you get the maximum benefit from your LLC. First, you will receive the single most important tool that every LLC MUST have in order to provide you with the maximum protection and control of your business, and which most LLCs don’t have: a comprehensive, custom-tailored Operating Agreement. You will also receive our exclusive SUPERNUS LLC STARTER KIT which includes the specific rules for operating an LLC in your state, detailed instructions on how to comply with those rules, as well as the essential documents you need to ensure proper documentation of your business activities so that your LLC runs smoothly.

A Limited Liability Company (LLC) might be right for you.

Do you own, or are you starting, a small business?
